The experience we would expect the ideal person to deliver is:
 

Description: Manages legal business matters pertaining to the organization, including corporate governance, financial transactions, and tax compliance advice. Provides a variety of general corporate and transactional legal services to multiple in-house clients. Demonstrates experience in general corporate matters, including corporate organization, securities compliance, drafting and negotiating transaction documents, and contract management. Experienced in public company governance, financial matters, and managing a network of subsidiaries.

Knowledge, Skills and Abilities: Must be self-motivated and able to work independently, as well and in collaboration with colleagues within the legal department and cross-functionally. Must be able to balance competing priorities and exercise solid business judgment. Excellent communication skills and an ability to interface real-time with colleagues across functions and around the country, cooperatively and efficiently, will be key to success. In-house or other business experience preferred but not required.

Specific Duties will Include:

  • acting as lead on a variety of transactions, including financings and capital markets transactions;
  • drafting and reviewing amendments to governing instruments, Board committee charters, and corporate policies;
  • drafting and reviewing materials to be provided to the Board of Directors and its committees, and drafting meeting minutes;
  • collaborating effectively with other departments, including accounting, finance, tax, asset management, and investor relations;
  • managing multiple projects and priorities effectively in a fast-paced environment; and
  • communicating with and directing the work of outside counsel on a cost-effective basis.

Minimum Qualifications: Bachelor’s degree, JD, and 5+ years of related experience.
