Title: Corporate Paralegal-Contracts Management

Location: Pleasanton, CA (Hybrid, on-site at least 3 days/week)

Contract: 1 yr.

Overview: The Contracts Management & Corporate Paralegal will be responsible for drafting documents responsive to requests from Legal's clients (internal and external) in a timely manner, manage the contracts process, and implement modifications proactively to the contract processes to increase the efficiency of draft-to-execution procedures.

Responsibilities:

  • Liaise with Legal's clients (internal and external) to anticipate and plan for documents workload
  • Negotiate and draft documents responsive to client (internal and external) requests promptly, modifying templates as necessary
  • Review and monitor client document modification requests to assure compliance with accounting and legal standards including examination and reconciling of sub-budgets with the overall budgets in, for example, master contracts to work-orders
  • Proactively implement instructions and modifications to contract processes and procedures for a changing legal environment
  • Closely monitor document through-flow to assure efficient hand-offs and minimize periods of document parked-time awaiting a process step
  • Interact and cooperate with staff at the Compliance and Legal departments of affiliates to manage and insert Company documents into the overall affiliate specialized database systems
  • Recognize situations that require lawyer input and work with attorney(s) to assure compliance with legal requirements
  • Maintain the contracts database and dockets including performing data entry, tracking, and contract life cycle management
  • Supervise administrative assistant
  • Provide monthly update to Otsuka regarding contract transparency

Qualifications:

  • Minimum education: BS/BA
  • Minimum of 5 years' corporate paralegal experience including contract drafting, review and negotiation
  • Experience with or knowledge of pharmaceutical contracts is desirable
  • Basic understanding of contract and legal terminology
  • Understanding of legal issues and risks pertinent to contract drafting and administration required
  • Thorough understanding of the contract process including contract evaluation, negotiation, approval, tracking, and execution
  • Knowledge of both the pharmaceutical/biotech clinical development process and pharmaceutical regulatory bodies is desirable
  • Excellent organization skills and the ability to multi-task and prioritize projects in a fast-paced, deadline-driven environment
  • Ability to work independently and as part of a team, and effectively communicate with both internal and external stakeholders
